Some high level things you would own but not limited to:

  • Lead the entire Secretarial Department.
  • Ensure compliance with the Companies Act and the Rules made thereunder for all group companies, with specific emphasis on RBI regulations for NBFCs and FDI compliances.
  • Conduct Board Meetings, General Meetings, Board Committee Meetings, etc., and close all associated activities.
  • Strong exposure to Corporate Legal Compliances, SEBI, LODR, RBI Regulations for NBFCs, and adherence to statutory and regulatory compliances in India.
  • Lead and contribute to the development of business processes and policies to enable achievement of business objectives, mitigate risks, reduce inefficiencies, and improve effectiveness.
  • Adept in drafting Board Meeting papers, Board Committee documents, various committee documents, policies, and procedures.
  • Identify and ensure compliance with local laws and regulations and assist in auditing compliance with legal and regulatory requirements.
  • Liaise with relevant authorities/departments to ensure appropriate actions are taken wherever legal risks are identified.

Desired Skill

  • 12–16 years of post-qualification experience as a Company Secretary.
  • Preferably from BFSI, NBFC, Banking, Financial Services, or related regulated industries.
  • Exposure to equity fundraising, mergers & acquisitions, etc., will be an added advantage.
  • Excellent communication, stakeholder management, and leadership capabilities.
  • Extensive exposure to RBI regulations governing NBFCs.
  • Hands-on experience with SEBI LODR Regulations, FEMA, FDI compliances, and corporate governance practices.
